Terms of Service

These terms cover your use of Koza, a workspace for marketing agencies and the clients they work with.

Who you are agreeing with

[registered company name], at [registered address]. We call ourselves “we” below, and the software Koza.

Two kinds of account

An agency account is bought and controlled by an agency. Its team members sign in with a work email or a Google account.

A client portal belongs to one of that agency’s clients. People reach it through a sign-in link sent to an address the agency has added. They do not have an account with us and are not our customers. Their relationship is with the agency, and the agency decides what they can see.

Your content stays yours

Everything you put into Koza remains yours: posts, captions, video, images, documents, client records. We claim no ownership of it.

You give us permission to store, copy and process that content only so far as is needed to run the service for you: storing a file so it can be played back, sending an email you asked us to send, generating a description you asked for. Nothing else.

What you are responsible for

That you have the right to upload what you upload, and to share it with the people you share it with. That the addresses you add to a client portal belong to people who expect to hear from you. That your team keeps its sign-in credentials to itself.

Do not use Koza to store or send anything unlawful, to infringe someone else’s rights, or to attack the service or the people using it.

Features that use AI

Some features send your content to an AI provider to produce a result you asked for: describing a video or photo from a few frames, drafting a caption, answering a question in the assistant. This happens when you use the feature, not in the background.

Output from these features is a suggestion. It can be wrong. Read it before you publish it, and treat a generated description as a label rather than a statement of fact.

Other services we rely on

Koza connects to services you choose to connect, such as Google, Meta, Canva and Slack, and uses infrastructure providers to run at all. Those services have their own terms. We are not responsible for what they do, and a change on their side can change or break a feature here.

Availability

We work to keep the service running and will not pretend it never breaks. It is provided as it is, without a promise that it will be uninterrupted, or that it will fit a particular purpose you have in mind.

Keep your own copies of anything you cannot afford to lose. Deleted files go to a Trash you can restore from, but a Trash is not a backup.

Fees

Where a paid plan applies, the price, billing period and what is included are whatever we agreed with you in writing. Fees already paid for a period are not refunded when you stop part-way through it, unless we say otherwise.

Ending it

You can stop using Koza at any time and ask us to delete your account. We may suspend or close an account that breaks these terms, that we are legally required to close, or that has gone unpaid.

After an account closes we keep its data for a short window so an accidental closure can be undone, then delete it. Ask us before you close it if you want an export.

Limits on what we owe you

To the extent the law allows, we are not liable for lost profits, lost data, or indirect or consequential losses. Where we are liable, our total liability is capped at what you paid us in the twelve months before the thing that caused it.

Nothing here limits liability that cannot legally be limited.

Changes to these terms

We may update these terms. If a change matters, we will tell account holders before it takes effect. Continuing to use Koza after that means the new terms apply.

Which law applies

These terms are governed by the laws of the State of Florida, USA, and disputes are handled there.
